Business Relationship Manager – BRM Terms & Conditions
These Agent Terms apply to all authorised Business Relationship Managers ("BRMs" or "Agents") operating under Prokip Limited ("Prokip", "Company", "we", or "us").
This page provides a summary of key obligations. All agents are also required to sign the full Agent Service Agreement and comply with the Prokip Agent Policy Handbook.
Nature of Relationship
BRMs operate as Authorised Independent Business Partners of Prokip.
- This role does not create employment, partnership, or joint venture.
- Agents are responsible for their own taxes, statutory filings, and personal compliance obligations.
- Agents represent the Prokip brand and must uphold its standards at all times.
Mission & Brand Representation
Prokip exists to empower businesses with transparent and reliable business management systems. As a BRM, you are a direct ambassador of the brand and are expected to demonstrate:
- Integrity
- Professionalism
- Discipline
- Responsiveness
- Excellence in service delivery
Sales & Setup Responsibilities
Agents are expected to:
- Begin client onboarding within 1–7 days of confirmed payment (unless otherwise agreed).
- Keep clients informed throughout the setup process.
- Follow the official Prokip Sales Process and Standard Operating Procedures.
- Use only approved company tools, including the Agents' App.
- Training and standard system setup must not be charged separately.
Official Pricing & Payments
- Prokip must be sold strictly at official company rates.
- Agents must not inflate pricing.
- All client payments must go directly into Prokip's designated company account.
- Agents must never receive payments into personal accounts.
- Violation may result in refund liability and immediate termination.
Commission Structure
Commissions are governed by the official Commission & Payout Policy. Where:
- One agent closes a sale, and
- Another agent completes the setup,
- The closing agent forfeits 20% of the commission to the setup agent.
Prokip reserves the right to amend commission structures where necessary. Changes will not affect commissions already earned.
Communication Standards
Agents must:
- Remain accessible Monday–Saturday.
- Respond to management and team communications within a maximum of 2 hours.
- Attend all mandatory meetings (daily and weekly where applicable).
- Collaborate respectfully with fellow agents.
Professional communication is required at all times.
Company Leads & Integrity
Agents must not:
- Convert company-generated leads into personal leads.
- Exploit company opportunities for personal gain.
- Enter false or misleading information into company systems.
- Misrepresent Prokip's services or incentives.
Integrity is non-negotiable.
Client Support Obligations
When directed by the company to provide on-site or remote support:
- The assigned agent must comply.
- Failure to honour official assignments may result in termination.
Agents are expected to maintain continuous product knowledge and competency.
Confidentiality & Intellectual Property
All Prokip systems, processes, pricing structures, data, training materials, tools, and methodologies remain the exclusive property of Prokip Limited.
Agents may not:
- Copy or distribute company materials.
- Use company data for competing businesses.
- Retain client data after termination.
Confidentiality obligations continue even after engagement ends.
Disciplinary Process
Prokip generally follows a three-stage disciplinary process:
- Verbal Warning
- Written Warning
- Termination
However, Prokip reserves the right to proceed directly to termination or legal action where the severity of the violation warrants it.
Resignation
- Agents must provide a minimum of three (3) weeks' written notice before resignation to allow proper transition of client responsibilities.
Governing Law
- Agent engagements are governed by the laws of the Federal Republic of Nigeria.
